Executive Summary

Investing involves risk, including the possible loss of the capital invested. This Risk Disclosure exists so that every decision you make through WE ARE TOGETHER is made with your eyes open — not to discourage investment, but to make sure your confidence is based on a complete picture, exactly as a serious institutional investor would insist on.

1. Purpose and Scope

This Risk Disclosure applies to any Opportunity, sector research, or investment-related Content presented on the Platform. It supplements, and should be read together with, our Disclaimer and our Reports & Research Disclaimer.

2. General Investment Risk

All investment involves risk. The value of an investment can fall as well as rise, and you may not recover the amount you invest. Nothing on the Platform should be read as a guarantee, express or implied, of any particular return, timeline, or outcome.

What the Platform is not

WE ARE TOGETHER is an investment intelligence and facilitation platform. It is not a licensed investment advisor, broker-dealer, portfolio manager, or bank, and nothing on the Platform constitutes a personalized investment recommendation, solicitation, or offer to sell any security or financial instrument. 3. Risks Specific to Private and Early-Stage Investment

Many Opportunities presented on the Platform involve private companies, early-stage ventures, or illiquid assets. These carry risks that differ materially from listed, liquid securities, including: 1. Illiquidity — you may be unable to sell or exit your position when you wish to. 2. Limited public information — private companies are not subject to the same disclosure requirements as listed issuers. 3. Concentration risk — a single early-stage investment can carry a meaningfully higher risk of total loss than a diversified portfolio. 4. Valuation uncertainty — the stated valuation of a private Opportunity may not reflect what an independent buyer would pay in an open market. 5. Dependency on management — the outcome of an early-stage venture often depends heavily on a small founding team.

4. Country and Market Risk

Investments connected to Morocco, like any single-country exposure, are subject to macroeconomic, regulatory, currency, and political developments specific to that market. We aim to provide balanced context on these factors through our Knowledge Center, but macro conditions can change in ways no publication can fully anticipate.

5. Sector-Specific Risk

Certain sectors featured on the Platform — including real estate development, tourism and hospitality, agritech, and infrastructure tied to major national programs — carry risk profiles specific to their regulatory environment, construction or delivery timelines, and demand cycles. Sector-specific risk factors, where materially relevant, are noted alongside the corresponding Opportunity or research article.

6. Currency Risk

If you are investing from outside Morocco, currency fluctuations between the Moroccan dirham and your home currency can affect the value of your investment independently of the Opportunity's own performance.

7. No Diversification Guarantee

The Platform does not manage a portfolio on your behalf and does not guarantee that your overall allocation across Opportunities is diversified or suitable for your circumstances. Portfolio construction and suitability remain your responsibility, or that of the licensed advisor you choose to engage.

8. Your Responsibility

Before committing capital to any Opportunity, you should: (a) conduct independent due diligence, including verifying material facts directly with the project sponsor; (b) consider obtaining independent legal, tax, and financial advice; and (c) satisfy yourself that the investment is consistent with your own risk tolerance and financial circumstances.

No. We never guarantee a return, a timeline, or any specific outcome for any Opportunity presented on the Platform.

Can I lose more than I invest?

For most Opportunities presented on the Platform, your maximum loss is the capital you commit. Certain structures (e.g., those involving guarantees or leverage) may carry different risk profiles — always confirm the specific risk structure of an Opportunity directly with its sponsor before committing.
